Welcome to MindShift. By accessing our website (hosted on Framer at mshift.ai) or engaging with our services, you agree to the following Terms and Conditions. Please read them carefully. These Terms constitute a legal agreement between you (“Client”, “You”) and MindShift, MShift (“We”, “Us”, “Our”).


1. Definitions


  • “MindShift” / “MShift” / “We” / “Us”: Refers to the company MindShift, its team, and its digital platform.

  • “Client” / “You”: Refers to any individual or entity using our services or visiting our website.

  • “Services”: Refers to our AI strategy, automation consulting, development, and related solutions.


2. Services Offered


MindShift offers bespoke AI and automation solutions, which may include:


  • Strategic consulting and workflow analysis

  • Development and deployment of AI agents and tools

  • Automation integrations across various platforms

  • Ongoing support and optimization



Deliverables, milestones, and specific scope of work are defined in individual proposals or project agreements.


3. Client Responsibilities


By engaging with MindShift, you agree to:


  • Provide timely, accurate, and complete project inputs

  • Use our deliverables in compliance with applicable laws

  • Refrain from reverse engineering, duplicating, or reselling proprietary solutions without written consent


4. Payment Terms



  • Payment terms will be outlined in your project agreement.

  • Unless otherwise specified, invoices are due within 15 days of issue.

  • Late payments may incur interest at a rate of 5% per month.



Ownership of any deliverables is transferred only after full payment is received.


5. Intellectual Property



  • All IP created by MindShift remains our property until full payment is made.

  • Upon payment, the client receives a non-exclusive, non-transferable license to use the solution for its intended purpose.

  • Reuse or redistribution outside the original scope requires written authorization.


6. Confidentiality


Both parties agree to:


  • Maintain confidentiality of any shared data, documents, or sensitive business information

  • Use such information strictly for the execution of the agreed project

  • Respect NDAs where applicable


7. Limitation of Liability


MindShift will not be held responsible for:


  • Indirect or incidental losses

  • Business interruption due to service misuse or misconfiguration

  • Events beyond our control (e.g., natural disasters, platform outages)



8. Termination


  • Either party may terminate a project agreement with 7 days’ written notice.

  • In the event of termination, the client must pay for work completed up to that date.

  • MindShift will provide all deliverables already paid for.


9. Modifications


We may update these Terms occasionally. When changes occur:


  • We will notify existing clients of material changes

  • Continued use of our services constitutes acceptance of the revised terms


10. Governing Law


These Terms are governed by the laws of France, without regard to conflict of law principles.
